1. About These Terms

These Member Terms of Use (Terms) govern your access to and use of websites, applications, digital wallets, member portals and related services operated by We Make A Difference Pty Ltd ACN 626 022 624 (WeMAD, we, us or our) (collectively, the Platform).

The Platform allows eligible users to access benefits which may include third-party gift cards, e-gift cards, discounts, offers and other benefits.

These Terms apply between you and WeMAD.

Your access to the Platform may be provided directly by WeMAD or through an employer, association, club, membership organisation, benefits provider or other organisation (Program Partner).

A Program Partner is not WeMAD merely because it provides or facilitates your access to the Platform.

Please read these Terms together with the WeMAD Privacy Policy.

By creating an Account, accessing the Platform or purchasing a Gift Card through the Platform, you agree to these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. Eligibility and Program Access

You must satisfy any eligibility requirements applying to the program through which you access WeMAD.

Where your access is provided through a Program Partner, your eligibility may depend on your continuing relationship or membership with that Program Partner.

A Program Partner may provide WeMAD with information reasonably required to establish or verify your eligibility.

Your access may be suspended or terminated if you cease to satisfy applicable eligibility requirements.

3. Your WeMAD Account

You may be required to create or activate an account (Account) to access some or all of the Platform.

You must provide accurate and current information.

You are responsible for taking reasonable steps to protect:

  • your Account;
  • password;
  • PIN;
  • mobile device;
  • email account;
  • authentication credentials;
  • one-time passwords or verification codes;
  • Gift Card numbers and PINs;
  • barcodes and QR codes;
  • digital wallet access; and
  • any other information capable of being used to access your Account or redeem a Gift Card.

You must promptly notify WeMAD if you know or reasonably suspect that your Account or credentials have been compromised.

4. Program Partners and Third-Party Entry Points

You may access or be directed to the Platform through a Program Partner's website, application, portal, email, link, QR code, single sign-on service or other system.

These systems are not part of the WeMAD Platform merely because they provide access to WeMAD.

WeMAD is responsible for systems and security controls within WeMAD's possession or reasonable control.

WeMAD is not responsible for the security, availability or operation of a Program Partner's or other third party's systems to the extent those systems are outside WeMAD's possession or reasonable control.

Where your Account, credentials, personal information or access is compromised through a Program Partner or other third-party system, responsibility for any resulting loss will be determined having regard to the cause of the incident and applicable law.

Nothing in these Terms makes WeMAD responsible for a security failure merely because the affected user subsequently accessed or used the WeMAD Platform.

5. Gift Card Service

The Platform allows eligible users to purchase third-party physical or electronic gift cards (Gift Cards).

When you purchase a Gift Card:

  1. you select the relevant Merchant, Gift Card and denomination;
  2. WeMAD or its authorised payment service provider may collect payment from you;
  3. WeMAD arranges procurement and fulfilment of the Gift Card from the relevant Merchant, issuer, distributor or supplier; and
  4. the Gift Card is delivered or otherwise made available to you through your Account, digital wallet, email or another nominated delivery method.

Unless expressly stated otherwise, WeMAD is not the issuer of the Gift Card.

The Gift Card is issued by, and redeemable with, the relevant Merchant or third-party issuer.

6. Merchant and Issuer Terms

Each Gift Card is subject to the applicable terms and conditions of its Merchant or issuer.

These may include:

  • redemption requirements;
  • permitted uses;
  • exclusions;
  • expiry conditions;
  • balance rules;
  • participating locations;
  • online or in-store redemption requirements; and
  • other Merchant-specific restrictions.

You should review the relevant conditions before purchasing and using a Gift Card.

WeMAD does not control the goods or services that you subsequently purchase from a Merchant using a Gift Card.

Nothing in these Terms limits any rights you have under applicable law.

7. Gift Card Availability

Gift Cards, denominations and discounts displayed on the Platform are subject to availability.

WeMAD may add, remove or change available Merchants, Gift Cards, denominations or discounts from time to time.

Displaying a Gift Card does not guarantee that the relevant supplier or issuer will continue to make that Gift Card available.

8. Orders and Payment

Submitting an order does not guarantee that the order will be accepted or fulfilled.

WeMAD may reject, suspend or cancel an order before fulfilment where reasonably necessary, including where:

  • payment cannot be authorised;
  • a Gift Card is unavailable;
  • an incorrect price or discount has been displayed;
  • a purchase or transaction limit has been exceeded;
  • WeMAD reasonably suspects fraud or unauthorised activity;
  • additional verification is reasonably required;
  • the Merchant, issuer or supplier rejects the transaction;
  • fulfilment is prevented by a technical or operational error; or
  • WeMAD is required to do so by law.

If payment has been collected for an order that WeMAD cannot fulfil, WeMAD will provide an appropriate refund, reversal or other remedy.

9. Delivery

Electronic Gift Cards may be delivered through:

  • your WeMAD Account;
  • a WeMAD digital wallet;
  • email;
  • another electronic delivery mechanism; or
  • another method specified during the transaction.

You are responsible for ensuring that the Account, email address, mobile number or other delivery information you provide is accurate.

Once a Gift Card has been correctly delivered or made available through your authenticated Account or nominated delivery channel, you are responsible for taking reasonable steps to protect the Gift Card and its redemption credentials.

10. Fraud Prevention and Security

WeMAD may use security and fraud-prevention measures including:

  • authentication;
  • one-time passwords;
  • transaction monitoring;
  • identity verification;
  • payment verification;
  • device and session information;
  • fraud detection technology;
  • transaction limits; and
  • other risk and security controls.

WeMAD may delay, decline, suspend or investigate a transaction or Account where it reasonably suspects:

  • fraud;
  • account takeover;
  • identity misuse;
  • unauthorised access;
  • stolen payment credentials;
  • unusual transaction activity;
  • unauthorised commercial resale;
  • circumvention of security controls;
  • money laundering; or
  • other unlawful or prohibited conduct.

WeMAD may require additional verification before allowing an Account or transaction to proceed.

WeMAD is not required to disclose confidential security systems, fraud rules, detection methodologies or risk thresholds.

11. Unauthorised Access and Gift Card Fraud

You must take reasonable steps to prevent unauthorised access to your Account and Gift Cards.

You must not disclose your password, authentication code, one-time password, Gift Card PIN, barcode or other security credential to another person except where reasonably required for legitimate use of the Gift Card.

If you become aware of suspected unauthorised access or Gift Card use, you must notify WeMAD as soon as reasonably practicable.

A report of fraud or unauthorised use does not automatically entitle you to a refund, replacement or reimbursement.

WeMAD may investigate:

  • Account authentication;
  • transaction records;
  • Gift Card issuance;
  • delivery records;
  • wallet access;
  • card reveal activity;
  • available device and session information;
  • relevant timestamps;
  • redemption information;
  • Program Partner access information where available; and
  • other information reasonably relevant to the incident.

WeMAD may temporarily restrict access to an Account, wallet or Gift Card while an incident is investigated.

12. Responsibility for Fraud Loss

Responsibility for loss resulting from fraud, unauthorised access or unauthorised Gift Card use will be determined having regard to the circumstances, the cause of the loss and applicable law.

Subject to rights that cannot lawfully be excluded, WeMAD will not be responsible for loss to the extent that the loss was caused or contributed to by:

  • your failure to take reasonable steps to secure your Account;
  • your voluntary disclosure of passwords or authentication credentials;
  • your disclosure of Gift Card numbers, PINs, barcodes or redemption credentials;
  • compromise of your personal email account or device outside WeMAD's reasonable control;
  • your provision of credentials or Gift Card information to a fraudulent website, message, caller or other third party;
  • another person to whom you voluntarily provided Account or Gift Card access;
  • compromise of a Program Partner's system or another third-party system outside WeMAD's reasonable control; or
  • another act or omission outside WeMAD's reasonable control.

Where WeMAD's records establish that a Gift Card was correctly issued and securely delivered or made available through the authenticated Account or nominated delivery method, subsequent unauthorised use or redemption of that Gift Card does not, by itself, establish that WeMAD failed to provide the Gift Card or Platform service.

Nothing in this section excludes, restricts or modifies rights or remedies that cannot lawfully be excluded.

13. Program Partner Security Incidents

Where WeMAD reasonably believes that suspected fraud or unauthorised access may have originated from or involved a Program Partner's website, application, authentication service, SSO environment, communication system or other infrastructure, WeMAD may work with the relevant Program Partner and other appropriate parties to investigate the incident.

WeMAD may take reasonable steps to protect affected users, including:

  • temporarily restricting access;
  • requiring additional authentication;
  • invalidating sessions;
  • resetting access credentials;
  • restricting transactions;
  • suspending an integration; or
  • implementing additional security controls.

Where the available evidence indicates that the incident occurred within systems outside WeMAD's possession or reasonable control, WeMAD does not assume responsibility for the incident merely because a subsequent transaction or Gift Card fulfilment occurred through the WeMAD Platform.

This section does not affect any rights you may have under applicable law.

14. Refunds and Cancellations

Except where required by the Australian Consumer Law or other applicable law, Gift Card purchases are final once issued or fulfilled.

WeMAD is not required to provide a refund or exchange merely because you:

  • change your mind;
  • select the wrong Merchant;
  • select the wrong Gift Card;
  • select the wrong denomination;
  • no longer require the Gift Card;
  • fail to use the Gift Card within an applicable lawful period; or
  • are dissatisfied with goods or services subsequently supplied by the Merchant.

If WeMAD accepts payment but is unable to procure or correctly deliver the Gift Card purchased, WeMAD will provide an appropriate remedy.

Nothing in this section excludes rights or remedies available under the Australian Consumer Law.

15. Fraud Reimbursements

WeMAD does not operate an automatic reimbursement policy for reported fraud or unauthorised Gift Card use.

Each claim may be investigated individually.

In determining whether a refund, replacement or reimbursement is appropriate, WeMAD may consider:

  • how the Account was accessed;
  • authentication records;
  • whether appropriate authentication was completed;
  • how and where the Gift Card was delivered;
  • when and how Gift Card details were accessed;
  • whether the user's credentials or device were compromised;
  • whether a Program Partner or third-party environment was compromised;
  • available redemption information;
  • whether the user complied with these Terms;
  • whether WeMAD's systems caused or materially contributed to the loss; and
  • any rights or obligations arising under applicable law.

A voluntary or goodwill payment made by WeMAD in relation to one incident does not constitute an admission of liability and does not create an entitlement to reimbursement in another incident.

Nothing in this section limits any statutory entitlement to a refund, reimbursement or other remedy.

16. Gift Card Expiry and Restrictions

Gift Cards may have expiry dates and other conditions imposed by the relevant Merchant or issuer.

Applicable conditions will be displayed, linked or otherwise made available where provided to WeMAD.

Nothing in these Terms reduces any minimum expiry period or other right applicable under Australian law.

17. Prohibited Conduct

You must not:

  • access another person's Account without authority;
  • impersonate another person;
  • provide false or misleading Account information;
  • use stolen or unauthorised payment credentials;
  • bypass or attempt to bypass authentication controls;
  • circumvent transaction or purchase limits;
  • probe or test Platform security without written authority;
  • introduce malicious software;
  • interfere with Platform operation;
  • scrape or systematically extract Platform data without permission;
  • use automated systems or bots to purchase Gift Cards without permission;
  • reverse engineer Platform software except where permitted by law;
  • purchase Gift Cards for unauthorised commercial resale;
  • use the Platform for fraud, money laundering or other unlawful activity;
  • compromise the security of another user; or
  • otherwise misuse the Platform.

WeMAD may suspend or terminate access where it reasonably believes these requirements have been breached.

18. Commercial Resale

Unless expressly authorised by WeMAD in writing, Gift Cards made available through the Platform are intended for personal or authorised program use.

You must not purchase Gift Cards for unauthorised commercial resale, redistribution or aggregation.

WeMAD may impose reasonable purchase, denomination, frequency and transaction limits.

19. Merchant Goods and Services

The Merchant is responsible for goods and services purchased using a Gift Card.

WeMAD is not responsible for:

  • the quality of Merchant goods or services;
  • Merchant customer service;
  • Merchant product availability;
  • Merchant trading hours;
  • Merchant warranties;
  • Merchant fulfilment of goods or services; or
  • disputes concerning goods or services subsequently purchased from the Merchant,

except to the extent WeMAD has an obligation under applicable law.

Your statutory rights against a Merchant are not affected by this section.

20. Platform Availability

WeMAD will use reasonable care and skill in providing the Platform.

However, uninterrupted availability cannot be guaranteed.

The Platform may occasionally be unavailable because of maintenance, upgrades, telecommunications failures, payment provider interruptions, supplier outages, cyber security incidents, infrastructure failures or circumstances outside WeMAD's reasonable control.

WeMAD will take reasonable steps to restore affected services where practicable.

21. Third-Party Information

Information concerning Merchants, Gift Cards, discounts and redemption conditions may be provided by third parties.

WeMAD will take reasonable steps to display this information accurately but cannot guarantee that third-party information will always be complete or current.

If WeMAD becomes aware of a material error affecting a transaction, WeMAD may correct the information and provide an appropriate remedy where required.

22. Intellectual Property

The Platform and its underlying software, design, databases, text, graphics, functionality, logos and WeMAD branding are owned by or licensed to WeMAD.

WeMAD grants you a limited, personal, revocable, non-exclusive and non-transferable right to use the Platform for its intended purpose.

No ownership or intellectual property rights are transferred to you.

Merchant trademarks and branding remain the property of their respective owners.

23. Privacy

WeMAD handles personal information in accordance with the WeMAD Privacy Policy and applicable privacy law.

WeMAD may use service providers in connection with:

  • payment processing;
  • Gift Card procurement and fulfilment;
  • fraud prevention;
  • identity and Account verification;
  • cyber security;
  • hosting and infrastructure;
  • communications; and
  • Platform administration.

Information may also be exchanged with a Program Partner, Merchant, issuer, payment provider or other relevant party where reasonably necessary and lawfully permitted for purposes including eligibility verification, transaction fulfilment, fraud prevention, security incident investigation and dispute resolution.

24. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies:

  • any consumer guarantee;
  • statutory right;
  • statutory remedy; or
  • other liability

that cannot lawfully be excluded, restricted or modified, including rights under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law.

Where liability can lawfully be limited, WeMAD's liability is limited to the maximum extent permitted by law.

25. Limitation of Liability

To the maximum extent permitted by law, WeMAD is not liable for indirect, incidental, special or consequential loss arising from your use of the Platform or a Gift Card where such liability may lawfully be excluded.

Subject to applicable law, WeMAD is not responsible for loss to the extent caused or contributed to by:

  • your failure to reasonably secure your Account or credentials;
  • your provision of incorrect information;
  • unauthorised access occurring outside WeMAD's reasonable control;
  • compromise of a Program Partner or other third-party environment outside WeMAD's reasonable control;
  • the quality or performance of Merchant goods or services;
  • a Merchant ceasing to trade;
  • your failure to comply with applicable Gift Card conditions; or
  • circumstances outside WeMAD's reasonable control.

WeMAD remains responsible to the extent required by law for loss caused or contributed to by WeMAD.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

26. User Indemnity

To the extent permitted by law, you indemnify WeMAD and its officers, employees and contractors against reasonable third-party claims, losses and costs arising directly from:

  • your fraudulent or unlawful use of the Platform;
  • your material breach of these Terms;
  • your infringement of another person's intellectual property rights; or
  • your intentional misuse of the Platform.

This indemnity is reduced to the extent that WeMAD caused or contributed to the relevant loss.

27. Suspension or Termination

WeMAD may suspend or terminate your Account or access where reasonably necessary because:

  • you materially breach these Terms;
  • WeMAD reasonably suspects fraud or unlawful activity;
  • your Account presents a material security risk;
  • you cease to satisfy applicable eligibility requirements;
  • continued access threatens Platform security or integrity; or
  • WeMAD is required to do so by law.

Where appropriate and legally permissible, WeMAD may notify you of the suspension or termination.

28. Changes to the Platform

WeMAD may modify, improve or discontinue Platform functionality, Merchants, Gift Cards, discounts and other services from time to time.

Availability of a particular Merchant, Gift Card or discount at one time does not guarantee future availability.

Changes do not affect rights already accrued in relation to completed transactions.

29. Changes to These Terms

WeMAD may amend these Terms from time to time.

Where a change materially affects users' rights or obligations, WeMAD will provide reasonable notice through the Platform, email or another appropriate communication method.

Changes will ordinarily apply prospectively from their effective date.

Continued use of the Platform after the effective date of amended Terms constitutes acceptance where permitted by law.

If you do not agree with amended Terms, you may cease using the Platform.

No amendment removes rights that have already accrued under applicable law.

30. Electronic Communications

You consent to receiving Account, transaction, security and service communications electronically, including by:

  • email;
  • SMS;
  • Account notification;
  • in-app notification; or
  • Platform notice.

You are responsible for keeping your contact information current.

31. Force Majeure

WeMAD will not be liable for delay or failure to perform an obligation to the extent caused by circumstances outside its reasonable control, including natural disasters, telecommunications failures, widespread internet outages, industrial action, government action, supplier outages, payment network failures, cyber incidents or infrastructure failures.

This section does not exclude liability that cannot lawfully be excluded.

32. Severability

If any provision of these Terms is invalid, illegal or unenforceable, it will be read down to the extent necessary or, if it cannot reasonably be read down, severed.

The remaining provisions continue to operate.

33. No Waiver

A failure or delay by WeMAD to exercise a right under these Terms does not waive that right.

34. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

You and WeMAD submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.

Nothing in this section limits any statutory right to commence proceedings in another jurisdiction.

35. Definitions

Account means an account established or activated to access the Platform.

Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth).

Gift Card means a physical or electronic stored-value card, code, voucher or similar instrument issued by a Merchant or third-party issuer and made available through the Platform.

Merchant means a third-party retailer, service provider, business or organisation whose Gift Card or other benefit is made available through the Platform.

Platform means a website, application, member portal, digital wallet or other digital service operated by WeMAD.

Privacy Policy means WeMAD's privacy policy as amended from time to time.

Program Partner means an employer, association, club, membership organisation, benefits provider or other organisation through which a user may become eligible for or obtain access to the Platform.

User, Member, you or your means a person who accesses or uses the Platform.

We Make A Difference, WeMAD, we, our or us means We Make A Difference Pty Ltd ACN 626 022 624.

Questions concerning these Terms, your Account, a transaction or suspected unauthorised activity should be directed to WeMAD using the contact details published on the Platform.

If you suspect unauthorised Account access or Gift Card use, you should contact WeMAD as soon as reasonably practicable.
